Role of the Executive Director

Section 11.7 of the NTC Constitution & Bylaws describes the Executive Director role:

11.7. The Board shall employ a person as Executive Director of the Society at such salary and upon such terms and conditions of employment as the Board shall determine. The Executive Director shall:

  1. be the Chief Executive Officer of the Society. The Executive Director shall be entitled to receive notice of and to attend all general meetings, meetings of the Board and committee meetings, but shall not have the right to vote as a Member or Director;
  2. manage the Society and be responsible for its general operation and the administration of its affairs;
  3. employ such persons as are necessary for the proper administration and operation of the Society and may delegate to them such of his or her duties and responsibilities as he or she sees fit, but no delegate shall have a vote at any meeting of the Board or any of its committees;
  4. cause to be conducted the correspondence of the Society;
  5. cause to be issued notices of meetings of the Members and Directors;
  6. cause to be kept minutes of all meetings of the Members and Directors;
  7. have custody of all records and documents of the Society except those required to be kept by a Director or officer;
  8. have custody of the common seal of the Society;
  9. maintain a register of the Members of the Society; and
  10. otherwise ensure that the Society complies with the Society Act and any other statute having application to the Society.
